Terms of Service for Stokee

1. Description of Service

Stokee is a cloud-based Warehouse Management System (WMS) designed to streamline inventory tracking, barcode scanning, and stock management. The Service is provided as Software-as-a-Service (SaaS).

2. Account Registration and Use

• Eligibility: The Service is intended for business use. You must provide accurate and complete information during registration.
• Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Acceptable Use: You agree not to use the Service for any illegal purposes, to transmit malware, or to attempt to circumvent the security or integrity of the platform.

3. Free Tier and Subscription Plans

• Free Tier: We offer a "Free Tier" with limited features (e.g., restricted number of items, users, or storage).
• Modifications: We reserve the right to modify the limitations of the Free Tier or discontinue it at any time with thirty (30) days' notice.
• No Warranty for Free Tier: To the maximum extent permitted by law, the Free Tier is provided "AS-IS" and "AS-AVAILABLE" without any warranties of uptime, performance, or data persistence.

4. Beta Services

From time to time, we may offer "Beta" features or invite users to participate in pilot programs. These features are for evaluation purposes only, may contain bugs, and do not represent the final product. We may terminate Beta access at any time.

5. Intellectual Property and Data

• Our Property: Mashed owns all rights, title, and interest in and to the Stokee platform, including its software, logos, and designs.
• Your Data: You retain all ownership rights to the inventory data, images, and documentation you upload to the Service ("User Content").
• License to Host: You grant us a non-exclusive, worldwide license to host, copy, and display your User Content solely as necessary to provide the Service to you.

6. Limitation of Liability

• General: To the extent permitted by Austrian law (ABGB), Mashed shall only be liable for damages caused by intent or gross negligence. Liability for slight negligence is expressly excluded.
• Indirect Damages: We are not liable for indirect, incidental, or consequential damages, including loss of profit, loss of data, or business interruption.
• Cap: In any event, our total liability for any claim arising out of these Terms shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the claim (or €100 for Free Tier users).

7. Termination

• By User: You may stop using the Service and close your account at any time.
• By Mashed: We may suspend or terminate your access if you breach these Terms or if we are required to do so by law.
• Data Export: Upon termination, it is your responsibility to export your inventory data. We are not obligated to maintain your data after account closure.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The competent court in Graz, Austria shall have exclusive jurisdiction over any disputes.
